...not really ...the two will coincide peacefully ...just follow the install 
instructions ...you will have to make sure you spec asp.net2 as your target 
environment if you are using both on the same sites ...vs8 defaults to using 
3.5 ...have you thought about upgrading your vs5 to vs8?
