Basic differences 
As Susan states - the additional facilities - MS considering 365 as being an
online - collaborative set of facilities.

Also - while there may not be much difference between 365 and the facilities
being used by 2021 users at this time 
that is probably because the new features take some time to integrate into
peoples working practices and learning of, and to use the new functions. 

The lack within 2021 will become more apparent as people using the 365 version
start passing around data in workbooks, documents, emails(Outlook based) and
possibly Access using the new facilities, and those without the new features -
and there is probably at least the rest of the 2023 additional features  to be
used before those with stand-alone versions get a chance to move from the
year-before last's facilities to the ones 365 users will have soon.
Considering Access -
While I hope that MS do not start changing its DBMS handling, and GUI - front
end, and back-end facilities.
What would be nice would be to include the form building and handling facilities
that Access has had since 2000 into Excel, and possibly WinWord.  

Those with the 2019 and 2021 have an almost stable working environment within
the office apps they have.
While those using 365 have to accept that the environment is like walking on a
scree slope - 
You never know what you are going to encounter, 
and have little chance of avoiding "it" !

I can only speak from my own experience. My 365 license comes with all the
Power apps and some of them are powerful apps. With the Power apps and
SharePoint (which comes with my 365 license), I have an incredible number of
easy-to-use tools at my disposal. I'd not go back.

What's the advantage then of 385 over say O2021?
